Terms Of Service

Last updated: 26-06-01

Status: Draft scaffold for structured legal/compliance review. Do not treat these Terms as production-final until MODMOUNT LLC completes attorney review, Google OAuth/GBP policy review, and final subscription/cancellation wording.

Welcome to ModMount.io, the review automation service operated by MODMOUNT LLC (“ModMount,” “we,” “us,” or “our”).

These Terms are intended to govern access to and use of ModMount.io by business customers (“Client,” “you,” or “your”) and their authorized users. ModMount.io is separate from ModMount.com optic milling services.

1. Overview

1.1 Purpose

ModMount.io helps gun shops request Google reviews by email, sync Google Business Profile reviews, draft and manage review replies, display eligible reviews in website widgets, generate review-to-social assets, and receive performance reporting.

These Terms define the operating rules for using the service, connecting providers, importing customer data, sending review requests, publishing replies, using generated assets, and paying for subscription or add-on services.

1.2 Definitions

  • Account: The ModMount.io tenant, business profile, users, locations, connected providers, configuration, and related records for a Client.
  • Authorized User: A person the Client permits to access ModMount.io, including owners, managers, staff, or ModMount operators assisting setup or support.
  • Customer Data: Contact, order, purchase, email-event, suppression, review, reply, widget, asset, report, provider, and operational data supplied by or collected for a Client.
  • Google Business Profile or GBP: Google’s business listing platform and related APIs used to sync locations, reviews, replies, and performance data.
  • Review Request: A transactional email request tied to a real purchase, customer event, or permitted manual Client action.
  • Review Reactivation: A paid add-on for historical customer CSV imports if offered. Current pricing is shown in the homepage pricing section.
  • Widget: A ModMount-built website display surface for eligible, currently available Google review content.
  • Generated Asset: A feed image, story image, caption, draft reply, report, or related output generated by ModMount.io or its providers.

2. Client Eligibility And Authority

ModMount.io is for business customers approved by ModMount, starting with gun shops.

By creating an account, accepting these Terms, connecting a provider, importing data, or using the service, you represent that:

  • You are authorized to bind the Client to these Terms.
  • You are authorized to manage each connected domain, sender identity, provider account, Google Business Profile account, Google Business Profile location, intake source, and customer-data source.
  • You have the right to provide Customer Data to ModMount for the service.
  • You will comply with federal, state, and local laws that apply to your business, customers, products, services, communications, advertising, reviews, testimonials, and regulated-industry operations.

ModMount does not provide legal, firearms compliance, advertising compliance, tax, or regulatory advice.

3. Service Scope

ModMount.io is a review automation product, not a full customer relationship management system, marketing automation suite, social media management suite, or legal compliance service.

Current intended service areas include:

  • High-touch setup before payment.
  • Purchase-triggered review request emails.
  • One configurable follow-up email.
  • Google Business Profile connection, paid-location selection, review sync, reply drafting, reply approval, and reply publishing.
  • Review widgets for eligible Google reviews.
  • Review-to-social assets for eligible 5-star reviews on eligible plans.
  • Weekly reporting.
  • Review Reactivation for historical customer lists if purchased.
  • Internal ModMount operator support for setup, troubleshooting, and account configuration.

Production automation may be gated until payment, provider readiness, sender-domain verification, and required setup steps are complete.

4. Signup, Acceptance, And Setup

Terms and Privacy acceptance must occur during ModMount.io signup before provider connections, customer imports, setup actions that collect customer data, or production automation.

ThriveCart checkout may include a separate terms checkbox. That checkout acceptance is not the only acceptance point because Clients may configure unpaid setup before payment.

During setup, ModMount may help configure:

  • Google Business Profile access and location selection.
  • Sender domains and transactional email settings.
  • Customer/order intake paths.
  • Brand, voice, widget, reply, report, and social-asset defaults.
  • Team access, roles, and location permissions.
  • Subscription or manage-plan links through ThriveCart.

5. Account Access And User Roles

Clients are responsible for all activity under their account and for controlling Authorized User access.

Expected role categories include:

  • Owner: Full account control, including billing links, integrations, team management, location access, setup pages, and high-risk account actions.
  • Manager: Location-scoped or account-scoped operational control as configured.
  • Staff: Limited operational access for assigned locations.
  • ModMount Operator: Internal support access used for setup, troubleshooting, quality control, recovery, and support.

Clients must promptly remove users who no longer need access and must keep login credentials confidential.

6. Client Responsibilities

You are responsible for:

  • Providing accurate business, location, billing, sender-domain, customer, order, and provider information.
  • Ensuring imported contacts are real customers and were not scraped, purchased, rented, guessed, harvested, or otherwise unlawfully obtained.
  • Ensuring review requests are sent only when you have a lawful basis and appropriate customer relationship.
  • Honoring opt-outs, Do Not Contact settings, bounces, complaints, provider suppressions, and similar suppression signals.
  • Reviewing, editing, approving, or disabling AI-drafted content when needed.
  • Ensuring published replies, widgets, reports, and social assets comply with your legal, advertising, platform, and regulated-industry obligations.
  • Avoiding review gating, fake reviews, incentivized sentiment requirements, misleading testimonials, and deceptive review practices.
  • Maintaining any permissions, licenses, registrations, or compliance programs required for your business.

7. Provider Connections And Authorization

By connecting providers or asking ModMount to configure them, you authorize ModMount to access and use the connected systems as needed to provide the service.

Depending on your setup, this may include authority to:

  • Connect Google Business Profile and access selected accounts, locations, reviews, replies, performance metrics, notification settings, and related resource identifiers.
  • Configure sender domains and send transactional review request emails.
  • Receive order or customer events from managed intake providers, webhooks, CSV imports, or manual entry.
  • Draft, queue, edit, approve, deny, publish, or track Google review replies according to your settings and permissions.
  • Render widgets using eligible review content and widget settings.
  • Generate social assets, captions, reports, and other service outputs.
  • Sync billing or plan state from ThriveCart.
  • Use service providers and subprocessors described in the Privacy Policy.

You warrant that you have authority to connect each provider and to grant these permissions.

8. Google Business Profile Terms

Google Business Profile is core to ModMount.io. You authorize ModMount to use GBP data only for service features that are visible or reasonably expected in the ModMount.io product, including location selection, review sync, reply workflow, widgets, social assets, reporting, support, and audit history.

8.1 Authorized Locations Only

You may connect only Google Business Profile accounts and locations that you own or are authorized to manage.

ModMount.io may not be used to access, claim, monitor, manage, or analyze unrelated businesses or leads.

8.2 Review Replies

If ModMount responds to Google reviews on your behalf, you authorize that action first through account setup, user action, approval workflow, auto-publish configuration, or another specific consent path.

All Google review replies must comply with Google’s applicable prohibited and restricted content policies. You remain responsible for the final content of approved or auto-published replies.

Current default policy:

  • 1-3 star review replies remain draft-only unless a later approved policy changes this.
  • 4-5 star replies may auto-publish after 24 hours only when that feature is enabled.
  • Blank, null, or whitespace-only replies must not publish.
  • Google-rejected replies may return to a revision-needed state.

8.3 Transparency

ModMount may show account activity, audit history, reply state, widget visibility, report state, and provider status so Clients can understand what the service did.

If ModMount or the tool makes material changes to a connected GBP account, Client-facing notice or audit history should identify the change where technically practical.

8.4 Google Content Storage

Google review display content is treated as temporary provider content. ModMount.io may cache limited Google review content only for current app display, widgets, reply workflow, social assets, reporting, diagnostics, and related service performance.

The intended product rule is to redact or prune Google review display content and raw Google payloads no later than 30 calendar days after fetch, while retaining durable routing and lifecycle records such as provider IDs, resource names, contact/location linkage, review timestamps, match state, reply state, widget override state, aggregated metrics, and audit metadata.

Final legal/privacy wording for Google API Content caching and redaction remains subject to Google policy review and attorney review.

8.5 Google Relationship Disclaimer

Use of Google Business Profile or Google APIs does not create, imply, or suggest partnership, sponsorship, or endorsement by Google.

9. Review Requests

Review Requests are transactional email messages tied to real purchases, customer events, or permitted manual Client action.

Current intended rules:

  • Ongoing flows include one initial request and one configurable follow-up.
  • Review requests do not include product promotion, firearm imagery, discounts, coupons, or default reactivation marketing copy.
  • Sender domains must be verified before production sending.
  • If a contact already left a matched Google review for the same location, future automated intake should record the order without triggering another same-location review request flow.
  • Opt-out, hard bounce, complaint, provider suppression, and manual Do Not Contact suppress future ModMount review requests account-wide for that contact.

ModMount does not guarantee review volume, review sentiment, star rating, Google ranking, profile visibility, revenue, or customer behavior.

10. Review Reactivation

Review Reactivation is a paid add-on for historical customer CSV imports if offered.

Current intended rules:

  • Current pricing is shown in the homepage pricing section.
  • It is separate from the ongoing monthly review request cap.
  • It applies to past customers, not new purchase-triggered flows.
  • Imported contacts must be lawful customer data supplied by the Client.
  • The Client must attest that imported contacts are real customers and were not scraped, purchased, or unlawfully obtained.
  • Invalid rows should be stored with clear failure reasons and should not be enqueued.
  • Review Reactivation events should enter the same dashboard and lifecycle history as ongoing contacts.

Final purchase, refund, unused-quantity, and expiration terms require legal and product approval before launch.

11. AI Drafts And Automation

ModMount.io may use AI systems to draft review replies, captions, or other text outputs.

AI-generated outputs may be incomplete, inaccurate, unsuitable, duplicative, or inappropriate for a specific customer, review, location, law, platform rule, or business context.

Unless an approved auto-publish setting applies, Clients are responsible for reviewing, editing, approving, or rejecting AI drafts before publication or use.

If auto-publish is enabled for eligible replies, the Client remains responsible for that configuration and for the resulting published content.

ModMount may block, revise, or decline generation or publishing when content appears unsafe, noncompliant, unsupported, or outside the service scope.

12. Widgets, Testimonials, And Social Assets

By enabling widgets or social asset generation, you authorize ModMount to display, transform, format, and reuse eligible review content for your own business website, social media, reporting, and related service outputs.

Current intended rules:

  • Widgets display eligible Google review proof while the relevant review content is currently available and inside the allowed cache window.
  • Clients and ModMount operators may hide or archive reviews from widget display without deleting underlying lifecycle metadata.
  • Eligible 5-star reviews may become branded feed/story assets and captions for weekly delivery on eligible plans.
  • Generated social assets are not automated social publishing in the current product.
  • Review content must not be fabricated, materially altered in a misleading way, or used to imply an incentive, endorsement, affiliation, or outcome that does not exist.

Clients are responsible for final marketing use of review content and for complying with review, testimonial, endorsement, advertising, privacy, platform, and regulated-industry rules.

13. Billing, Plans, And Payment

Subscription billing is handled through ThriveCart or another approved checkout/manage-plan provider.

Current plan and add-on pricing is shown in the homepage pricing section or the applicable checkout/manage-plan flow.

Each paid location slot maps to an active Google Business Profile location. Plan changes, location-count changes, cancellation, payment failure handling, taxes, refunds, and manage-plan behavior may be handled through ThriveCart and may also be subject to ThriveCart’s terms.

Ongoing review requests are intended to have a hard cap of 1,000 started flows per paid location per calendar month. Over-cap flows may queue until the next reset. No separate monthly overage bill is used for ongoing review requests.

Final cancellation, refund, trial, unpaid setup, past-due, and location-change terms require legal and product approval before launch.

14. Data, Privacy, And Security

ModMount’s Privacy Policy explains expected data collection, use, storage, sharing, retention, deletion, and subprocessors.

Clients authorize ModMount to process Customer Data as needed to provide, secure, support, debug, audit, improve, and report on the service.

ModMount intends to use reasonable technical and organizational safeguards, including provider-side encryption where available, server-side token handling, private storage where needed, Row Level Security, role/location access controls, and operator access limits.

No Internet-connected system can be guaranteed perfectly secure.

15. Third-Party Services And Availability

ModMount.io depends on third-party providers. Depending on configuration, these may include Supabase, Google/GBP, Resend, Encharge, OpenAI, SyncSpider, ThriveCart, Google Apps Script/Gmail, Canva, Cloudflare, Intercom, and other approved providers.

Provider downtime, API limits, policy changes, moderation, disconnection, rejection, billing issues, webhook failures, email delivery issues, or platform changes may delay, degrade, suspend, or block service features.

ModMount is not responsible for third-party platform decisions, including Google review moderation, review removal, reply rejection, profile changes, ranking changes, account restrictions, or API-access decisions.

16. Acceptable Use

You may not use ModMount.io to:

  • Send review requests to people who are not real customers or who were obtained unlawfully.
  • Buy, sell, broker, fabricate, seed, or manipulate fake reviews.
  • Condition incentives, compensation, discounts, or benefits on positive or negative review sentiment.
  • Suppress, hide, discourage, or reroute negative reviews in a deceptive or unlawful way.
  • Publish replies, assets, or claims that are false, misleading, unlawful, threatening, harassing, discriminatory, infringing, or platform-prohibited.
  • Upload, import, or process data you are not authorized to use.
  • Attempt to access another tenant’s data or bypass security controls.
  • Use ModMount.io for spam, phishing, credential theft, malware, surveillance, credit decisions, unrelated advertising, or unlawful data resale.
  • Misrepresent affiliation with Google, ModMount, or another provider.

ModMount may suspend or terminate accounts that violate these Terms, provider policies, legal requirements, or security requirements.

17. Intellectual Property And Client Content

ModMount retains ownership of ModMount.io software, workflows, templates, layouts, design systems, documentation, branding, internal tools, and other ModMount intellectual property.

Clients retain ownership of their business information, brand assets, customer data, and lawful content supplied to ModMount, subject to the licenses needed for ModMount to provide the service.

You grant ModMount a limited license to host, process, display, transform, transmit, and use Client-provided content and Customer Data as needed to provide, secure, support, and improve the service.

You represent that you have all rights needed to provide logos, images, brand assets, customer lists, order data, review content, and other materials supplied to ModMount.

18. Suspension, Termination, Cancellation, And Disconnect

Cancellation or termination may affect:

  • Production sending.
  • Google review sync and reply publishing.
  • Widgets and public embeds.
  • Social asset generation.
  • Weekly reports.
  • Provider tokens and webhooks.
  • Billing and plan state.
  • Support access.
  • Stored data and audit history.

Clients must have a quick and easy way to stop using the GBP integration and request disassociation of their Business Profile account from ModMount services and developer project. The intended process is through the app, support, or a written request. ModMount must finalize the exact disconnect process before launch.

Archive, retention, export, deletion, and hard-delete rules require final legal/product approval. Suppression and Do Not Contact records may need to persist to honor opt-outs, bounces, complaints, legal obligations, audit needs, and customer protection.

19. Warranty, Liability, And Indemnity

This section requires attorney review before launch.

Expected terms include:

  • The service is provided without guarantees of uninterrupted operation, error-free output, review results, ratings, Google ranking, revenue, customer action, or provider availability.
  • ModMount’s liability should be limited to the maximum extent permitted by law.
  • ModMount should not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages.
  • Clients should indemnify ModMount for claims arising from Client data, Client instructions, Client provider connections, Client business practices, Client published content, Client regulated-industry obligations, Client legal violations, or Client misuse of the service.

Final warranty disclaimers, liability caps, exclusions, indemnity terms, and risk allocation must be drafted or approved by counsel.

20. Dispute Resolution And Governing Law

This section requires attorney review before launch.

Final terms must define governing law, venue, notice, informal dispute process, arbitration or court process if any, class-action waiver if any, limitation period if any, and exceptions for equitable relief, payment collection, security incidents, or intellectual property disputes.

21. Changes To These Terms

ModMount may update these Terms as the service, legal requirements, provider rules, or business model changes.

Material changes should be posted with a revised “Last updated” date and, where appropriate, communicated through email, in-app notice, or another reasonable channel.

Continued use of ModMount.io after changes take effect may constitute acceptance of the updated Terms.

22. Contact

For questions about these Terms, contact ModMount through the portal support channel or email help@modmount.com until a dedicated ModMount.io legal/support inbox is finalized.
